[MEMORADUM AGREEMENT NO. ONE]

December 13, 1871

Memorandum Agreement between William Proudfoot and John W. Jones. Mr. Proudfoot now practising as an Attorney and Solicitor in the City of Hamilton agrees to take Mr. Jones as a partner in the business for three years terminable upon three months notice by either party. Mr. Jones to be entitled to one fourth of the profits and to bear one fourth of the expenses and losses. The lease of the premises now occupied by Mr. Proudfoot and the [?] books and stock in the office remain the property [?]. The rent to be an expense of the business. Upon the determination of the business upon notice or otherwise all deeds drafts and other papers relating to the business of the firm shall be delivered to Mr. Proudfoot unless the client to whom they belong objects. Mr. Proudfoot retains to his own use all Counsel fees for business done for other offices and any remuneration he may receive for offices to which he may be appointed. Annual accounts to be made up and all usual clauses pertaining to partnership business to be considered as inserted here.

Hamilton, Ontario February 10, [1873]1

Memorandum Agreement between William Proudfoot and John W. Jones and Isaac B. McQuesten of Hamilton, solicitor, and attorney. William Proudfoot and John W. Jones agree to take Mr. McQuesten into partnership for the term in the business of Attornies and Solicitors for the term of one year from this date. Mr. Proudfoot to be entitled to one half of the profits and to bear one half of the expenses. Mr. Jones and Mr. McQuesten each to be entitled to one fourth of the profits and losses and subject a stipulation in written memorandum of agreement.

1 The Calendar of McQuesten Papers states that the date of the Isaac Baldwin McQuesten agreement is 1873, but the date on the microfilm is illegible (CMQPW 7).
